What Hong Kong requires

A company secretary isn't a one-off filing — it's a role the Companies Ordinance requires you to keep filled at all times.

    Mandatory at all times, not just at setup

    Section 474 of the Companies Ordinance requires every Hong Kong company to have a company secretary continuously — a gap in appointment is itself a breach.

    Strict eligibility rules

    An individual secretary must ordinarily reside in Hong Kong; a corporate secretary must hold a valid Trust or Company Service Provider (TCSP) licence under the Anti-Money Laundering Ordinance.

    Cannot be your sole director

    The law requires an independent compliance check, so a single-director company must appoint someone else as secretary.

    Annual Return filing

    Due within a set window of your incorporation anniversary each year — missed deadlines lead to escalating late-filing penalties.

    Change notifications

    Any change to directors, the registered address, or company particulars generally needs to be filed with the Registrar within a matter of days, not at your convenience.
