What Hong Kong requires

Hong Kong makes it straightforward to incorporate, but a handful of requirements apply from day one and catch first-time founders out.

  • 01

    At least one director

    Any nationality, resident anywhere in the world — but at least one director must be a natural person, not only a corporate entity.

  • 02

    A company secretary from day one

    This can't be appointed later. If you have a sole director, the secretary must be a different person or entity — a sole director cannot double up as secretary.

  • 03

    A registered office in Hong Kong

    A physical Hong Kong address is required before the Companies Registry will incorporate you — a PO box does not qualify.

  • 04

    A Significant Controllers Register

    You must identify anyone with more than 25% control of the company and keep this on record, accessible to law enforcement, from incorporation onward.

  • 05

    Business Registration with the IRD

    Filed alongside incorporation and renewed annually (or every 3 years), with the certificate displayed at your place of business.
